Shannon Terry

NASHVILLE-area Sports-Lifestyle entrepreneurs Shannon Terry and Andrew Johnson are associated with Brentwood-based On3Media's SEC filing for a roughly $36.25MM equity raise among 27 investors.

Members of On3Media's board of directors listed on the SEC filing include Sid Chambless of Nashville Capital Network, and investors Stuart McWhorter and investor Daniel Rhodes King Jr.

VNC research indicates Terry and Johnson are members of D17 LLC.

D17's interests apparently include On3 Media (sports database and digital media), spiny.ai (publishing and management platform), and Leaders (business media and career- and wealth-building education platform). Within On3.com, the company also addresses Pro Sports news, under the heading of 5GOATS.

Terry, now 54, was named to "the SportsBusiness Journal's Forty Under 40 in 2006 and 2007, and the SportsBusiness Journal's Forty Under 40 Hall of Fame in 2008. He was SBJ's first digital media Hall of Fame recipient.

Terry was also named to the trade publication's 20 Most Influential People in Online Sports (ranked No. 11 & No. 14, respectively) list in 2007 and 2008, according to his LinkedIn profile.

Andrew Johnson

The SEC filing was made two days ago by Andrew Johnson, a Macc/CPA-wielding team member associated since at least 2003 with a series of Terry-led ventures, including Rivals.com (exit to Yahoo! Sports), 247Sports (CBS Sports), Pop Culture Media (ComicBook.com and PopCulture.com sold to CBS Interactive). SEC filing.

The shapers of the On3 platform and its affiliates are apparently quick-snap innovators of On3 components.

Add: An On3 Media representative pointed-out that in fall 2024, "On3 expanded its coverage to include high school sports, a natural extension of our brand. We view this new business segment as a significant growth driver and a cornerstone of our future strategy. As we move forward, we will explore additional opportunities within this dynamic space while continuing to be the premier college sports media and tech company for fan, media, coaches."

In January 2023, On3 announced launching On3 OS, an enterprise division focused on products, services, and events for athletes, schools, collectives and brands in the $20BN college sports industry, according to a release.

A few months earlier, in December 2022, On3 -- described as "the premier college sports media, data and marketing company for fans, media, coaches, and athletes" -- announced launch of the On3 Athlete Network, with focus on enabling high school and college athletes address revenue opportunities associated with Name, Image, Likeness (NIL) opportunities.

D17's direct advertising sales team includes Grant Ferking, an entrepreneur and former college athlete LinkedIn profile.

VNC's previous coverage of Shannon Terry here. VNC reported in 2018 on the formation of D17 Ventures. Update: We understand D17 Ventures is no longer active.

Updates: Although the Outsider business was outlined on the D17 website when this story went to press, that material no longer appears. D17 General Counsel Roe Moore on Nov. 22 advised that "Shannon Terry, Andy Johnson and D17 LLC no longer have any affiliation with Outsider. That asset was divested in 2023."

While D17 and Outsider were affiliated, Outsider was a media, lifestyle retail founded by former Vanderbilt and NFL quarterback Jay Cutler. VNC
